Company Reinstatement (Application to ASIC)

How to reinstate a deregistered company?

There are two ways to reinstate a deregistered company. The first way is to apply to ASIC using a Form 581 Application for ASIC Reinstatement. This is the simplest way if the company was voluntarily deregistered, or ASIC has deregistered the company for non-payment of the annual fees. The applicant will need to provide evidence of the following:

  • The company was still carrying on business when it was deregistered
  • There were legal proceedings in existence at the time of deregistration, or the company has outstanding liabilities.
  • There was more than $1,000 of assets in the company at the time of deregistration.
  • There was a procedural error that caused the deregistration.
  • Not every shareholder agreed to voluntarily deregister the company.

Before ASIC will re-instate the company, all outstanding fees must be paid. This includes any fees owed at the time of deregistration, and any annual review fees for the period that the company was deregistered. If the application to ASIC is successful, then the company will be reinstated with all the pre-existing directors and shareholders as if it had never been deregistered.

The second way is to apply to the court for an order to reinstate the company. If your application to ASIC to re-instate the company is rejected, then you can apply to a court to have the company reinstated. You can also do this if you can’t meet the requirements for an application to ASIC for reinstatement, or the company has been formally wound up.

How much does it cost to reinstate a company?
The cost to reinstate a company varies. Our cost to prepare the documentation, lodge your Form 581 Application for ASIC reinstatement is $440, included in this is the ASIC lodgement fee of $42. Our fee does not include any outstanding fees or penalties issued by ASIC. Additional costs prescribed by ASIC may include all money owing to ASIC at the time of deregistration and annual review fees since the date of deregistration. How long does it take to reinstate a company?
